AI Reseller Network: Membership Terms & Conditions

1. Agreement and Eligibility

1.1 These Terms and Conditions ("Terms") form a binding agreement between you ("Member") and White Beard Strategies LLC, an Alabama limited liability company ("the Company", "we", "us"). They apply to the AI Reseller Network membership.

1.2 By ticking the acceptance box at checkout, or by accessing any membership content, you confirm that you have read and agree to these Terms, our Terms of Service and our Privacy Policy. If these Terms conflict with the Terms of Service, these Terms apply to your membership.

1.3 You must be at least 18 years old and able to enter a binding contract to purchase a membership. If you purchase on behalf of a business, you confirm you have authority to bind that business.

1.4 A membership is personal to the Member named on the account and may not be transferred, shared or resold. Resale of materials is permitted only as set out in Section 8.4.

2. Membership Period, Billing and Automatic Renewal

2.1 Monthly memberships run for one month from the date of your first payment and renew automatically each month on the same date. You will be charged the monthly price shown at checkout on each renewal date until you cancel.

2.2 Annual memberships are paid in full upfront and are effective for 12 months from the date of payment. They renew automatically for a further 12 months at the end of each term, and you will be charged the annual price on the renewal date until you cancel.

2.3 Monthly and annual Members receive the same benefits and inclusions for as long as their membership is active.

2.4 We will email annual Members a renewal reminder at least [30] days before each renewal date. The reminder will state the renewal date, the amount to be charged, and how to cancel.

2.5 By purchasing, you authorise the Company and its payment processor to charge your chosen payment method on each renewal date. You are responsible for keeping your payment details current.

3. Cancellation

3.1 You may cancel at any time by either:

logging in to our Customer Billing Portal, selecting Subscriptions from the left menu, choosing your membership and clicking Cancel Subscription; or

submitting a cancellation request through our support form: submit a ticket, using the email address on your account.

3.2 To stop your next payment, your cancellation must be received at least 7 days before your next scheduled payment date. Cancellations received less than 7 days before that date will take effect after that payment has been processed, and your membership will end at the close of the period that payment covers.

3.3 We will confirm every cancellation by email within [2] business days. Keep this confirmation as your record. If you do not receive it, please contact us.

3.4 Cancelling stops future renewals. It does not entitle you to a refund of any payment already made, except as set out in Section 5.

3.5 The Company may suspend or end a membership immediately if a Member breaches these Terms, including the conduct rules in Section 9 or the intellectual property terms in Section 8. No refund is due in that case.

4. Failed Payments

4.1 If a scheduled payment fails, we will email you and automatically retry the charge during a 7-day grace period. You keep full access to your membership during this period.

4.2 You can update your payment details at any time in the Customer Billing Portal under My Details to settle the outstanding amount.

4.3 If payment has not been received by the end of the 7-day grace period, your membership will be cancelled and access removed as described in Section 6. To rejoin, you will need to purchase a new membership at the price current at that time.

4.4 A payment collected during the grace period does not change your billing date.

5. Refunds

5.1 All payments are non-refundable unless the Company decides otherwise. Refunds, full or partial, are granted solely at the Company's discretion.

5.2 Annual memberships are effective for 12 months from the date of payment. Cancelling an annual membership stops the next renewal. It does not create a right to a refund for the unused part of the current term.

5.3 To request a refund, submit a ticket with your name, membership and reason. We aim to respond within [5] business days.

5.4 Membership content is digital and available immediately after purchase. No statutory cooling-off period applies to online purchases of this kind. If you buy a membership in person at a live event, any cancellation right required by law for that type of sale will be provided to you in writing at the time of purchase.

6. Access After Cancellation

6.1 When a membership ends, whether through cancellation, non-payment or termination by the Company, all access is revoked. This includes access to:

the community group;

the membership portal; and

the skill resource portal.

6.2 Where you cancel with the required 7 days' notice, access continues until the end of the period you have already paid for, and is then removed.

6.3 Content you downloaded while a Member remains subject to Section 8 and may not be shared or resold after your membership ends.

7. Trainings and Replays

7.1 Your membership includes the trainings delivered from your membership start date onward, for as long as your membership remains active.

7.2 Trainings delivered before your membership start date are not included. They are available to purchase separately as replays from Jonathan's AI Shop.

7.3 Training replays included in your membership are available only while your membership is active, unless purchased separately.

8. Intellectual Property and Resale Rights

8.1 All training materials, including videos, recordings, slides, workbooks, templates, prompts, skill files and written content, are the property of White Beard Strategies LLC and are protected by copyright and other intellectual property laws.

8.2 Your membership grants you a personal, non-exclusive, non-transferable licence to use the materials for your own learning and business use while your membership is active.

8.3 You may not copy, resell, redistribute, publish, sublicense or share the materials, or your login, with anyone else, except as permitted in Section 8.4.

8.4 AI Reseller Network resale rights. While your membership is active, you may resell products and resources directly related to the AI Reseller Network only. This right does not extend to:

coaching calls, including their recordings, notes and any materials shared on them, which remain for your personal use only; or

any other White Beard Strategies training, membership content or materials not directly related to the AI Reseller Network.

8.5 Your resale rights under Section 8.4 end when your AI Reseller Network membership ends, unless the Company agrees otherwise in writing.

9. Community Conduct, Account Use and Recordings

9.1 Members must treat others in the community with respect. Harassment, spam, unsolicited selling, and sharing other members' information without consent are not permitted.

9.2 Each membership is for one person. Sharing login details is a breach of these Terms.

9.3 Live trainings and coaching calls may be recorded and shared with other Members of the relevant membership. By joining a live session, you consent to being recorded, including your name, image, voice and any comments you make. You may turn off your camera or use the chat if you prefer not to appear on video.

9.4 Feedback or testimonials you post publicly in the community may be used by the Company in its marketing, with your first name only, unless you ask us in writing not to.

10. Results, Liability, Price Changes and Chargebacks

10.1 No guarantee of results. Memberships provide education and coaching. Results depend on each Member's effort, circumstances and market conditions. The Company does not guarantee any income, revenue, client numbers, resale sales or business outcome. Examples or testimonials shared are not typical and are not a promise of similar results.

10.2 Not professional advice. Content is for educational purposes and is not legal, financial, tax or other professional advice.

10.3 Limitation of liability. To the fullest extent permitted by law, the Company's total liability to a Member for any claim relating to a membership is limited to the amount the Member paid for that membership in the 12 months before the claim arose. The Company is not liable for indirect or consequential losses, including lost profits or data.

10.4 Third-party tools. Memberships may teach or link to third-party AI tools and platforms. The Company is not responsible for their availability, pricing, terms or output.

10.5 Price changes. We may change membership prices. Any change will apply only from your next renewal, and we will email you at least 30 days before it takes effect so you can cancel if you choose.

10.6 Chargebacks. Please contact us before disputing a charge with your bank so we can try to resolve the issue. A chargeback filed for a payment that was properly authorised under these Terms may result in immediate suspension of your membership.

11. Governing Law, Changes and Contact

11.1 These Terms are governed by the laws of the State of Alabama and applicable federal law. Any dispute will be heard in the state or federal courts located in [COUNTY], Alabama, unless the law of the Member's home state requires otherwise.

11.2 We may update these Terms from time to time. We will email Members at least 30 days before any material change takes effect. Continuing your membership after that date means you accept the updated Terms. If you do not agree, you may cancel under Section 3.

11.3 If any part of these Terms is found unenforceable, the rest remains in effect.
