TERMS AND CONDITIONS

1. Acceptance of Terms

By purchasing, accessing, or participating in the training identified in Schedule A (the "Training"), you agree to these Terms and Conditions ("Terms").

If you do not agree to these Terms, do not purchase or participate in the Training.

These Terms form an agreement between you and White Beard Strategies LLC, an Alabama limited liability company ("White Beard Strategies," "we," "us," or "our").
2. Electronic Acceptance

You accept these Terms by completing a purchase, or by accessing the Training. That acceptance has the same effect as a signature. We keep a record of the date and time of your acceptance.

3. Description of the Training

The Training is an online educational program. Depending on the registration purchased, it may include:

Live training sessions

Question-and-answer periods

Training resources and worksheets

Session recordings or replays

Access to a private training community, if provided

AI skills, prompts, templates, workflows, GPTs, agents, or other digital resources

Additional resources provided during the Training

The specific features included with your registration are those described on this registration page.

4. Eligibility and Prerequisites

You must be at least 18 years old and legally capable of entering into a binding agreement.

To participate effectively, you should have a stable internet connection, an appropriate computer or device, and access to any third-party AI tools or services required or recommended during the Training.

Third-party software, subscriptions, usage fees, API costs, and other services are not included unless the training registration page expressly says otherwise.

5. Registration and Payment

Registration requires payment of the price shown at the time of purchase.

Payments are processed through payment services such as Stripe, PayPal, or another authorized payment processor.

Prices may change at any time. A price change does not affect a registration that has already been completed and paid for.

You are responsible for providing accurate billing and contact information.

Team and multi-seat purchases. One registration is one seat for one named person. If you purchase for a team, each person who accesses the Training must be covered by a purchased seat and is individually bound by these Terms.

6. Access and Training Materials

Your registration may include access to live sessions, question-and-answer opportunities, training resources, community access, session replays, AI-related resources or skills, and other resources identified in the training registration page.

Unless the training registration page says otherwise, replay access remains available for twelve (12) months following the LIVE Training.

Access may be affected by third-party hosting platforms, technology changes, account restrictions, or circumstances outside our reasonable control.

7. Refund Policy

All sales are final except where a refund is required by applicable law.

The Training delivers digital materials, proprietary resources, and immediate access to educational content. We do not provide refunds based on:

Failure to attend live sessions

Failure to complete the Training

Change of mind

Lack of implementation

Dissatisfaction with personal business results

Failure to obtain clients, sales, or income

The replay-delivery remedy in Section 16.1 applies if replay recordings become permanently unavailable.

Buyers in the European Union, United Kingdom, and similar jurisdictions. By purchasing, you request immediate access to digital content and acknowledge that, once access begins, you lose any statutory right to cancel within a cooling-off period. Nothing in this section limits rights that cannot be waived under your local law.
8. Chargebacks

If you believe a charge is in error, contact [email protected] before disputing the charge with your card issuer or payment provider. We will respond promptly.

Initiating a chargeback or payment dispute after you have accessed the Training, for a reason these Terms do not recognize as grounds for a refund, is a material breach. We may suspend or terminate your access, contest the dispute with our record of your acceptance and access, and recover amounts owed to the extent the law allows.

9. Intellectual Property Ownership

All Training materials remain the intellectual property of White Beard Strategies LLC or the applicable rights holder unless expressly stated otherwise in writing.

Protected materials include, without limitation: training videos, live-session recordings, presentations, prompts, worksheets, templates, guides, frameworks, AI skills, agents, automations, workflows, training documents, community content created by White Beard Strategies, marketing materials, branding, and supporting resources.

Purchasing the Training does not transfer ownership of any White Beard Strategies intellectual property to you.

10. License to Use Training Materials

Subject to these Terms, White Beard Strategies grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Training materials for your own learning and internal business purposes.

Unless White Beard Strategies grants additional rights in writing, you may:

Learn and practice the concepts taught in the Training

Implement the concepts within your own business

Use provided prompts, templates, workflows, AI skills, and similar resources for your own operations

Customize materials for your own internal use

Use the output produced by provided AI skills or tools in your own business and/or to deliver services to your clients, subject to applicable third-party platform terms

This license does not include resale, redistribution, sublicensing, white-label, private-label, or commercial redistribution rights.

11. No Resale Rights 

Unless White Beard Strategies expressly grants resale rights in writing, materials provided during the Training may not be resold, redistributed, sublicensed, transferred, white-labeled, private-labeled, or offered to third parties as your own product.

This applies to, without limitation: AI skills, prompts, prompt libraries, templates, agents, workflows, automation systems, worksheets, training resources, frameworks, presentations, training recordings, guides, and resource libraries.

Without a written grant, you may not:

Sell a provided AI skill as your own product

Rebrand a provided AI skill for resale

Give customers access to a provided AI skill as a standalone product

Include a provided AI skill in a commercial bundle for resale

Sell access to a White Beard Strategies prompt, workflow, GPT, or resource library

Grant your customers resale or sublicensing rights

Publish or distribute Training materials publicly

Use Training materials to create a substantially similar competing course, training, membership, or resource library

Where a written grant exists, it controls. A resale license stated on the registration page or in the training marterials, a separate license file delivered with a specific resource, or the terms of a White Beard Strategies membership that includes resale rights (for example, White Beard Strategies AI Resellers Network™) governs that resource and overrides this Section for that resource only.

12. Participant-Created Work

This Training may teach you to build, customize, package, and sell your own AI skills, prompts, workflows, or services. Nothing in these Terms restricts that.

You own what you create. White Beard Strategies claims no ownership of, and no royalty on, any skill, prompt, workflow, product, service, or business you build during or after the Training, provided it does not copy or incorporate protected White Beard Strategies materials beyond what a written grant allows.

Applying a method, framework, or technique you learned in the Training to your own original work is permitted. Reproducing our materials is not.

13. Permitted Use of Outputs

You may use the outputs generated through skills, prompts, workflows, or other tools provided during the Training in your own business and to deliver services to your clients, subject to applicable third-party platform terms. This includes marketing content, business analysis, internal planning, customer deliverables, research, drafting, and operational support.

The right to use an output does not include the right to sell, distribute, or sublicense the underlying White Beard Strategies skill, prompt, template, workflow, or other protected asset.

AI-generated outputs may be inaccurate, incomplete, or similar to outputs generated for other users. White Beard Strategies does not warrant that any output is accurate, original, or free of third-party claims. You are responsible for reviewing outputs before relying on or publishing them.

14. Participant Responsibility

You remain responsible for how you apply what you learn, including all decisions about your business, offers, pricing, marketing, sales process, customer relationships, marketing claims, customer agreements, privacy practices, taxes, legal and regulatory compliance, use of third-party platforms, and use of AI-generated content.

White Beard Strategies does not create, approve, operate, or assume responsibility for your business or your customer relationships.

15. Participant Obligations

You agree to:

Use Training access only for yourself (or your purchased seats under Section 5)

Keep your login credentials confidential

Follow applicable laws and regulations

Respect White Beard Strategies' intellectual property

Follow the rules of any Training community

Comply with applicable third-party platform terms

Make truthful and supportable claims when marketing your own products or services

You may not:

Share your Training login with others

Redistribute Training sessions without permission

Copy or redistribute protected Training materials

Resell provided resources except as expressly permitted in writing

Use White Beard Strategies proprietary content to create a substantially similar competing course or training program

Misrepresent your affiliation with White Beard Strategies

Use Training materials for unlawful, deceptive, infringing, or abusive purposes

16. Technical Support and Replay Availability

White Beard Strategies may provide limited technical or implementation guidance through live sessions, question-and-answer periods, community posts, training resources, and moderator guidance. This does not include individualized technical development, implementation services, or ongoing private consulting unless the training registration page says otherwise.

White Beard Strategies is not responsible for problems caused by internet connectivity, participant devices, participant accounts, third-party platform failures, third-party policy changes, or third-party service interruptions.

16.1 Replay Delivery Remedy

When replay access is included with registration, we intend to provide replay recordings of live sessions within seven (7) days of each session.

If a recording is delayed, we will make reasonable efforts to provide it as soon as practical. Delay alone does not trigger a remedy.

If we determine that a replay recording is permanently unavailable because of a recording failure, technical failure, corrupted file, or similar circumstance, we will notify you by email within seven (7) days of that determination and provide a complimentary registration credit for another White Beard Strategies training of equal or lower value.

Any such credit is provided in place of the unavailable replay, is not redeemable for cash, must be used within twelve (12) months of issuance, and is subject to training availability.

Nothing in this section limits rights you may have under applicable law.

17. Recording, Likeness, and Community Content

LIVE sessions are recorded. By participating in a LIVE session, including by speaking, appearing on camera, or posting in chat, you consent to being recorded and to your voice, likeness, name, and contributions appearing in session replays and related Training materials, which may be sold or distributed as part of the Training for the replay period and beyond.

If you do not want to appear, keep your camera and microphone off and use a display name of your choosing. Session chat may be published with replays. 

Content you post in a Training community remains yours, but you grant White Beard Strategies a non-exclusive, worldwide, royalty-free license to display it within the community and in Training materials.

18. Feedback and Testimonials

If you provide feedback, suggestions, or testimonials about the Training, you grant White Beard Strategies a non-exclusive, perpetual, royalty-free license to use them, including your first name, last initial, and business type, in marketing and educational materials. We will not use your full name, image, or company name in marketing without your separate permission.

19. Private Community Conduct

If a private Training group or community is provided, participants must communicate respectfully, avoid harassment and abusive conduct, avoid spam and unauthorized solicitation, respect the confidentiality of other participants, and follow moderator instructions.

White Beard Strategies may remove a participant from the community for violations. Removal does not entitle the participant to a refund.

20. Third-Party AI Platforms and Services

The Training may use or reference third-party AI models, applications, software, hosting platforms, or other technology.

You are responsible for complying with the terms, policies, licensing requirements, commercial-use restrictions, and acceptable-use requirements of any third-party service you use.

White Beard Strategies does not control and cannot guarantee third-party platform availability, pricing, feature availability, commercial-use policies, model behavior, terms of service, API availability, or the continued availability of any specific AI model, feature, or tool.

Changes made by third-party providers may affect how a skill, prompt, workflow, or automation functions. Any license granted by White Beard Strategies does not override restrictions imposed by a third-party platform.

21. No Earnings, Sales, or Client Guarantee

The Training is educational. White Beard Strategies does not promise or guarantee income, revenue, profit, clients, customers, sales, leads, return on investment, business growth, or any particular commercial result.

Examples, illustrations, demonstrations, case studies, and testimonials are provided for educational purposes and are not a promise of what you will achieve. Where a testimonial describes a specific result, that result is that person's experience; your results depend on your market, offer, pricing, implementation, skills, experience, effort, timing, competition, customer demand, and other circumstances outside White Beard Strategies' control. 

22. Disclaimer of Warranties

The Training and all related materials are provided on an "as-is" and "as-available" basis to the fullest extent permitted by law.

White Beard Strategies does not warrant that the Training will meet every participant's expectations, that any particular AI tool will remain available, that any specific technique will remain effective indefinitely, that third-party services will operate without interruption, that AI-generated outputs will be accurate, complete, or appropriate, or that participation will produce a particular business result.

AI and technology change rapidly. Training that is accurate when delivered may require adaptation as platforms, models, policies, and tools change.

23. Limitation of Liability

To the fullest extent permitted by applicable law, White Beard Strategies LLC and its owners, members, officers, employees, contractors, instructors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Training, including lost profits, lost revenue, business interruption, loss of data, third-party platform changes, customer disputes, reliance on AI-generated content, or participant business decisions.

To the fullest extent permitted by law, the total liability of White Beard Strategies LLC arising from or related to the Training will not exceed the amount you paid for the Training.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

24. Participant Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless White Beard Strategies LLC and its owners, members, officers, employees, contractors, instructors, and affiliates from claims, liabilities, losses, damages, and expenses (including reasonable attorney fees) arising from your business activities, your marketing or sales claims, your products or services, your customer relationships, your misuse of Training materials, your violation of third-party rights, your violation of applicable law, or your violation of these Terms.

25. Privacy

27. Governing Law and Disputes

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles.

Any legal action arising from or relating to these Terms or the Training must be brought in a state or federal court of competent jurisdiction located in Houston County, Alabama, and you consent to the personal jurisdiction of those courts, except where applicable law provides otherwise. 

28. Changes to the Training

White Beard Strategies may make reasonable changes to the Training curriculum, schedule, delivery method, instructors, resources, platforms, or technology when necessary. Material changes will be made in a manner intended to preserve the general purpose and value of the Training.

White Beard Strategies is not liable for delay or failure to perform caused by events beyond its reasonable control, including platform outages, internet failures, illness, natural disasters, or acts of government. Where a live session cannot be delivered for such a reason, we will reschedule it or provide a replacement recording.

29. Changes to These Terms

White Beard Strategies may update these Terms from time to time. Changes apply prospectively unless otherwise required by law. If a material change affects an active participant, we will provide notice by email, through the Training platform, or by another reasonable method.

30. Termination of Access

White Beard Strategies may suspend or terminate access to the Training for serious or repeated violations of these Terms, including unauthorized sharing of materials, copyright infringement, fraudulent activity or chargeback abuse, harassment, abuse of a private community, unauthorized resale or redistribution of protected materials, or misrepresentation of affiliation with White Beard Strategies.

Termination for violation of these Terms does not entitle the participant to a refund. Sections 9 through 13, 17, 18, and 21 through 32 survive termination.

31. General

Severability. If any provision is found unlawful, invalid, or unenforceable, the remaining provisions remain in effect, and the affected provision will be interpreted or modified to the minimum extent necessary to make it enforceable.

No waiver. Failure to enforce any provision is not a waiver of that provision or any other.

Assignment. You may not assign or transfer your registration or these Terms. White Beard Strategies may assign these Terms in connection with a merger, sale, or reorganization.

Entire agreement. These Terms, together with Schedule A, the applicable registration page, the Privacy Policy, the Earnings and Product Disclaimer, and any separate written license supplied with a specific resource, constitute the entire agreement between you and White Beard Strategies regarding the Training. Where a separate written license grants additional rights for a specific resource, that license controls for that resource. The absence of such a written grant means the default no-resale rule in Section 11 applies.

This is an educational training program

Materials provided in the Training are licensed for your own use unless expressly stated otherwise

AI skills, prompts, templates, GPTs, agents, workflows, and other provided resources do not include resale rights unless White Beard Strategies grants those rights in writing

Skills, products, and businesses you build yourself are yours

You may use permitted outputs in your own business and to provide services to clients, but you may not resell or redistribute the underlying White Beard Strategies assets

White Beard Strategies does not promise clients, customers, sales, income, or business results

AI tools and platforms may change over time, and third-party platform terms may affect how you use AI-related resources

Live sessions are recorded and may appear in replays

Your legal agreement is with White Beard Strategies LLC; its owners and instructors, including Jonathan Mast, are not personally liable to you

Your business decisions, marketing, pricing, customer relationships, and compliance obligations remain your responsibility

These Terms are governed by Alabama law.
