TERMS AND CONDITIONS - White Beard GPT Reseller Network™

1. ACCEPTANCE OF TERMS

By purchasing, accessing, or using the White Beard GPT Reseller Network™ (the "Service"), you ("Member," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

2. SERVICE DESCRIPTION

White Beard Strategies LLC ("Company," "we," or "us") provides a membership-based service offering:

- Access to a library of custom-trained GPT models for business applications

- Marketing materials and sales content suggestions

- Training videos and documentation

- Private member portal access

- Monthly coaching calls and networking opportunities

- Ongoing delivery of new GPT models as specified in your membership plan

3. MEMBERSHIP PLANS AND PAYMENT TERMS

3.1 Available Plans

- Founding Member Annual Plan: $1,497 for 12-month membership

- Monthly Payment Plan: $397 per month for 12 months with annual commitment

3.2 Payment

All fees are due in advance according to your selected billing cycle

Payments are processed automatically for monthly plans

All prices are in USD

You are responsible for any applicable taxes

3.3 NO REFUND POLICY

ALL SALES ARE FINAL. NO REFUNDS, RETURNS, OR EXCHANGES ARE PROVIDED UNDER ANY CIRCUMSTANCES. Due to the digital nature of our products and immediate access to proprietary content, we do not offer refunds, partial refunds, or pro-rated refunds for any reason, including but not limited to:

- Dissatisfaction with the service

- Inability to use the GPT models

- Changes to OpenAI's platform or policies

- Technical difficulties

- Change of mind or business circumstances

4. RESELLER RIGHTS AND LICENSE

4.1 License Grant

Upon payment, you receive a non-exclusive, non-transferable license to:

- Access and download provided GPT models

- Rebuild GPT models on your or your clients' ChatGPT accounts

- Resell the GPT models individually or as packages

- Modify, rebrand, or customize the GPT models for your business needs

- Use provided marketing materials and training content for your resale activities

4.2 License Restrictions

You may NOT:

- Use the GPT models or related materials for illegal purposes

- Act negligently in the modification or distribution of GPT models

- Claim ownership of the original GPT model designs

- Resell access to the member portal or training materials

- Share login credentials with non-members

4.3 Retention Rights

Upon cancellation, you retain perpetual rights to any GPT models delivered to you prior to cancellation, but lose access to the member portal, future deliveries, and ongoing support.

5. OPENAI AND THIRD-PARTY DISCLAIMERS

5.1 OpenAI Dependency

The GPT models provided are built using OpenAI's ChatGPT platform. Your use is subject to:

- OpenAI's Terms of Service and Usage Policies

- Potential changes to OpenAI's platform, pricing, or availability

- OpenAI's content and usage restrictions

5.2 Platform Changes

We are not responsible for:

- Changes to OpenAI's platform that affect GPT functionality

- OpenAI service interruptions or discontinuation

- Additional costs imposed by OpenAI

- Modifications to OpenAI's terms that impact your resale activities

5.3 Third-Party Integration

Any third-party tools, platforms, or services referenced are not under our control, and we disclaim all responsibility for their performance, availability, or compliance.

6. NO INCOME OR PROFIT GUARANTEES

6.1 Earnings Disclaimer

WE MAKE NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES REGARDING YOUR INCOME, EARNINGS, OR PROFITS FROM USING THIS SERVICE.

- Individual results will vary significantly

- Success depends on numerous factors outside our control

- Past performance or testimonials do not predict future results

- Any income examples are not typical and should not be expected

6.2 Business Risk Acknowledgment

You acknowledge that:

- All business ventures involve risk of loss

- Your success depends on your efforts, market conditions, and factors beyond our control

- We are not responsible for your business results or financial outcomes

- You are solely responsible for your business decisions and their consequences

7. FTC COMPLIANCE AND MARKETING DISCLAIMERS

7.1 Material Connection

If you promote our service, you must disclose any material connection or compensation received from us in accordance with FTC guidelines.

7.2 Testimonials and Claims

When using provided marketing materials or making claims about the GPT models:

- You must comply with FTC advertising guidelines

- All claims must be truthful and substantiated

- You must include appropriate disclaimers about typical results

- You are responsible for compliance with all applicable advertising laws

7.3 Your Marketing Responsibility

You are solely responsible for:

- Ensuring your marketing complies with all applicable laws

- Making accurate representations about the GPT models

- Including appropriate disclaimers in your sales materials

- Obtaining necessary permissions for your marketing activities

8. LIABILITY LIMITATIONS AND DISCLAIMERS

8.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

- Our total liability is limited to the amount you paid for the service

- We are not liable for indirect, consequential, or incidental damages

- We are not responsible for lost profits, business interruption, or data loss

- You use the service at your own risk

8.3 Member Resale Activities

We are not responsible for:

- How you market or sell the GPT models

- Disputes between you and your customers

- Legal issues arising from your resale activities

- Performance of GPT models after you modify them

- Your compliance with applicable laws and regulations

9. INTELLECTUAL PROPERTY

9.1 Our Property

We retain ownership of:

- Original GPT model designs and training

- Training materials and documentation

- Marketing content and sales materials

- The member portal and its content

- Our trademarks and brand elements

9.2 Your Content

You retain ownership of any modifications, customizations, or derivative works you create, subject to the underlying license terms.

10. CANCELLATION AND TERMINATION

10.1 Your Cancellation Rights

Both membership plans require a 12-month commitment:

- Annual Plan: Payment is due in full upfront; no cancellation or refund available during the 12-month term

- Monthly Plan: You remain obligated to pay all 12 monthly payments ($397 x 12 = $4,764 total); early cancellation does not relieve you of your payment obligations for the remaining term

- After your 12-month commitment expires, monthly plans will continue month-to-month and may be cancelled with 30 days written notice

- No refunds are provided under any circumstances

10.2 Our Termination Rights

We may terminate your access immediately for:

- Breach of these Terms

- Illegal use of the service

- Fraudulent or abusive behavior

- Non-payment of fees

10.3 Effect of Termination

Upon termination:

- Portal access ends immediately

- You retain rights to previously delivered GPT models

- All payment obligations remain due

- License restrictions continue to apply

11. PRIVACY AND DATA

We collect and use your information according to our Privacy Policy. By using the service, you consent to our data practices as described in our Privacy Policy.

12. GENERAL PROVISIONS

12.1 Governing Law

These Terms are governed by Michigan law without regard to conflict of law principles. Any disputes must be resolved in the courts of Newaygo County, Michigan.

12.2 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the service and supersede all prior agreements.

12.3 Severability

If any provision is found unenforceable, the remaining provisions continue in full force and effect.

12.4 No Waiver

Our failure to enforce any term does not waive our right to enforce it later.

12.5 Assignment

You may not assign your rights under these Terms. We may assign our rights without restriction.

12.6 Updates

We may update these Terms at any time by posting revised Terms on our website. Continued use constitutes acceptance of updated Terms.
